Intellectual Property

(a) The Site and all of its content, including text, photographs, images, product names, tile designs, graphics, the Veramis and Veenocks names and logos, and the way the Site is arranged, are owned by or licensed to Veenocks Limited and are protected by the Copyright Act 2022, the Trade Marks Act and other laws of Nigeria. Veramis is a trade mark of Veenocks Limited.

(b) You may view the Site, and print or download pages, for your own personal, non-commercial use, such as choosing tiles for your own home or project.

(c) You must not, without Company’s prior written consent:
(i) copy, reproduce, republish, distribute, sell or otherwise use any content from the Site, including photographs and product information, for any commercial purpose;
(ii) use the Veramis or Veenocks names or logos, or any name, logo or design confusingly similar to them, including in a business name, domain name, social media account, advertisement or search keyword;
(iii) present any product as Veramis Porcelain Tiles, or as made, approved or supplied by Company, when it is not; or
(iv) remove or alter any copyright or trade mark notice.

(d) Unauthorised use of the Site’s content may infringe Company’s copyright. Unauthorised use of the Veramis or Veenocks names or logos, or of anything confusingly similar, may infringe Company’s trade mark rights or amount to passing off. Company may take legal action to stop it and to recover damages.

(e) Channel Partners may use the Veramis names, logos and materials only as set out in their written agreement with Company.

Third-Party Links; Dealings with Others

Third-Party Links. The Site may contain links to third-party websites and services. Such Third-Party Links are not under the control of Company, and Company is not responsible for any Third-Party Links. Company provides access to these Third-Party Links only as a convenience to you, and does not review, approve, monitor, endorse, warrant, or make any representations with respect to Third-Party Links. You use all Third-Party Links at your own risk, and should apply a suitable level of caution and discretion in doing so. When you click on any of the Third-Party Links, the applicable third party’s terms and policies apply, including the third party’s privacy and data gathering practices.

Dealings with Others. Any dealings between you and a third party that you find through the Site, including a Channel Partner, are between you and that third party. To the extent permitted by Nigerian law, Company is not liable for any loss or damage arising from those dealings. This paragraph does not affect any warranty given for Veramis Porcelain Tiles under the Veenocks Product Warranty, or any right you have under the Federal Competition and Consumer Protection Act or any other law that cannot be excluded by agreement.

Product Images and Descriptions

Company tries to show the colour, shade and texture of Veramis Porcelain Tiles as accurately as possible. Actual colours and shades may differ from images on the Site because of photography, lighting and screen settings, and tiles vary naturally in shade within each collection’s stated shade variation rating. Room images are for illustration only and may be computer generated. Before ordering, you should view a physical sample at a Channel Partner showroom.

Disclaimers

The Site is provided on an “as-is” and “as available” basis, and Company and our suppliers expressly disclaim any and all warranties and conditions of any kind, whether express, implied, or statutory, including all warranties or conditions of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement. We and our suppliers make no guarantee that the Site will meet your requirements, will be available on an uninterrupted, timely, secure, or error-free basis, or will be accurate, reliable, free of viruses or other harmful code, complete, legal, or safe. If applicable law requires any warranties with respect to the Site, all such warranties are limited in duration to ninety (90) days from the date of first use.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. Some jurisdictions do not allow limitations on how long an implied warranty lasts, so the above limitation may not apply to you.

Limitation on Liability

To the maximum extent permitted by law, in no event shall Company or our suppliers be liable to you or any third-party for any lost profits, lost data, costs of procurement of substitute products, or any indirect, consequential, exemplary, incidental, special or punitive damages arising from or relating to these Terms or your use of, or inability to use, the Site, even if Company has been advised of the possibility of such damages. Access to and use of the Site is at your own discretion and risk, and you will be solely responsible for any damage to your device or computer system, or loss of data resulting therefrom.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.

Term and Termination. Subject to this Section, these Terms will remain in full force and effect while you use the Site. We may suspend or terminate your rights to use the Site at any time for any reason at our sole discretion, including for any use of the Site in violation of these Terms. Upon termination of your rights under these Terms, your right to access and use the Site will terminate immediately. Company will not have any liability whatsoever to you for any termination of your rights under these Terms. Even after your rights under these Terms are terminated, the following provisions of these Terms will remain in effect: the sections headed Intellectual Property, Disclaimers, Limitation on Liability, General, and Governing Law and Dispute Resolution.

Copyright Complaints

Company respects the intellectual property of others. If you believe that any material on the Site infringes your copyright, you may send a written notice to Veenocks Limited, 54A Adeola Odeku Street, Victoria Island, Lagos, or by email to info@veenocks.ng. Your notice should include:

(a) your name, address, telephone number and email address;
(b) a description of the copyright work you say has been infringed;
(c) the address of the page on the Site where the material appears;
(d) a statement that you believe in good faith that the use is not authorised by the copyright owner or by law;
(e) a statement that the information in your notice is accurate and that you are the copyright owner or are authorised to act for the owner; and
(f) your signature, which may be electronic.

Company will review each notice and, where appropriate, remove or disable access to the material. Sending a notice that you know to be false may make you liable for any loss it causes.

General

These Terms are subject to occasional revision, and if we make any substantial changes, we will post a notice of the changes prominently on our Site. Any changes to these Terms will be effective thirty (30) calendar days after we post that notice on our Site. These changes will be effective immediately for new users of our Site. Continued use of our Site following notice of such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.

Electronic Communications. The communications between you and Company use electronic means, whether you use the Site or send us emails, or whether Company posts notices on the Site or communicates with you via email. For contractual purposes, you (a) consent to receive communications from Company in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Company provides to you electronically satisfy any legal obligation that such communications would satisfy if it were in hard copy writing.

Entire Terms. These Terms constitute the entire agreement between you and us regarding the use of the Site. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect. The word “including” means “including without limitation”. If any provision of these Terms is held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law. Your relationship to Company is that of an independent contractor, and neither party is an agent or partner of the other. These Terms, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without Company’s prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. Company may freely assign these Terms. The terms and conditions set forth in these Terms shall be binding upon assignees.

Your Privacy. Please read our Privacy Policy.

Governing Law and Dispute Resolution

(a) Governing law. These Terms, and any dispute or claim arising out of or in connection with them or your use of the Site, are governed by the laws of the Federal Republic of Nigeria.

(b) Notice of dispute. Before taking any formal step, the party raising a dispute must send the other party a written notice describing the dispute and the remedy sought. Notices to Company must be sent to Veenocks Limited, 54A Adeola Odeku Street, Victoria Island, Lagos, or by email to info@veenocks.ng.

(c) Amicable settlement. The parties will try in good faith to settle the dispute within thirty (30) days of the notice being received.

(e) Courts. Any dispute not resolved under paragraphs (c) or (d) shall be determined by the courts of competent jurisdiction sitting in Lagos, Nigeria, and each party submits to the jurisdiction of those courts. Nothing in this clause prevents either party from seeking urgent interim relief from a competent court to protect its rights.

(f) Your statutory rights. Nothing in these Terms excludes or limits any right you have under the Federal Competition and Consumer Protection Act, or under any other Nigerian law that cannot be excluded or limited by agreement, including your right to make a complaint to the Federal Competition and Consumer Protection Commission.

(g) Language. All notices and proceedings under this clause shall be in English.
